Terms & Conditions This agreement executed the date shown above by and between Stellar Martial Arts hereinafter referred to as SMA, and the Member(s), who or whose parent/legal guardian caused his/her signature to be affixed hereto, hereinafter referred to as Member. The term of this Agreement shall be the initial term set forth in Membership Terms section and any renewal period here under (the “Term”). During the Term, SMA agrees to provide instruction in martial arts to the Member(s) during the scheduled instruction hours of SMA. Member(s) understands that it is their responsibility to attend instruction sessions. Member(s) recognizes and understands class attendance is necessary for the Member(s) progress and that the entire course fee stated on the front of this agreement is due and payable according to the terms of this agreement whether or not Member(s) chooses to attend instructional sessions provided by SMA. In consideration SMA promises to instruct and for providing an instructional facility(s) during the Term, Member(s) agrees and promises to pay the course fees timely and in full as provided here under. This agreement automatically renews itself as an ongoing month-to-month agreement after the last monthly membership installment, unless cancelled in writing by the Member(s) thirty (30) days prior to the end of the initial membership term. Except as otherwise expressly provided herein, no fees or membership amounts may be cancelled, withheld, charged back, or refunded. In the event of default in the payment of any installment or fee in accordance with the terms above, or a breach of any covenants herein contained to be performed by the Member(s) the total balance due under this agreement shall become immediately due and payable. Member(s) agrees to abide by the rules and regulations governing the conduct and operation of instruction sessions, members and observers, in order to promote efficiency, safety, and recognition of the instruction certification, as prescribed by SMA. The Member(s) understands that strict observance to SMA rules, codes of conduct and regulations relative to training include the use of protective equipment required by SMA. This equipment will largely eliminate the possibility of personal injury: however SMA does not warranty the protective equipment. Member(s) acknowledges receipt of SMA rules and regulations governing SMA, and SMA reserves the right to amend or add rules and regulations as it may deem necessary. Member(s) agrees to abide by all such rules and regulations as adopted or hereinafter amended. The hour of operations may be changed at the sole discretion of SMA. SMA reserves the right to revoke or terminate any membership. Member(s), the parent, or legal guardian on behalf of the member(s), acknowledges and is fully cognizant of the inherent dangers associated with exercises involved in martial arts instruction and participation as explained to him/her by an assistant and/or its principles of SMA, and Member(s) participation therein is undertaken at the Member(s) risk. The Member(s) or its parent, or legal guardian understands that there is risk of personal injury involved in the course of martial arts instruction and participation, and with this knowledge agrees to indemnify and hold harmless SMA, its instructors, officers and directors from all losses caused by negligence of instruction, instructors, accident or injury to the Member(s), or to third persons who may accompany Member(s), any and all damages, claims, cost or attorney fees of SMA, in the event that either the member(s) or said third person(s) for any form of injury arising out of their presence on SMA, facility(s) or presence at or participation in any SMA instruction, indoor or outdoor activities, exercises, sparring, competitions, examinations, seminars, demonstrations, private instructions provided by or connected with SMA or its instruction or events. The company owning SMA and its agents, officer, directors and employees shall not be responsible for damaged, lost or stolen articles inside or outside the School. If a Member(s) desires to transfer his/her membership to another individual, a transfer fee will be assessed to cover the SMA' cost not to exceed ($35.00). Memberships obtained on special/promotion are not renewable, transferable or withhold able. I, the Member(s) irrevocably authorize SMA, its successors and assigns, and those acting under its authority, to copy, use, publish for art, advertising, trade, or any other lawful purpose whatsoever, photographic portraits, pictures or DVDs, videotapes, etc. of me, in which I may be included in whole or in part and may be used without compensation to Member(s). SMA reserves the right to display any trophy(s), medal(s), plaque(s), etc. won by any Member(s) for a period of not more than one year. Official belt recognition will be awarded to the Member(s) by SMA upon successful completion of their examination and the requirements thereof. The names of Member(s) and any photographs or motion pictures taken during SMA's activities may be used without compensation to Member(s). In consideration of the instruction/training obtained, Member(s) agrees that Member(s) will not, during the continuance of this agreement, and for a period of five (5) years following termination of my association with SMA, engage in teaching martial arts or offering similar training or instruction within a fifty (50) mile radius of any school operated by the SMA without the express written authorization of same. If Member(s) moves their residence more than fifty (50) miles from SMA, agreement cancellation requires written proof of their new permanent address (i.e. lease agreement, utility bill, current driver’s license, cable/internet bill, etc.) and a thirty (30) day advance written notice. If Member(s) will be absent for more than two consecutive months, you are entitled to an extension of the agreement interval, (not the tuition) as long as written notice is given to the School office at least two (2) weeks in advance, otherwise the time will be forfeited. If SMA is closed for a month or more, you are entitled to a choice of either an extension of the agreement or a prorated refund, except if the closing is not the fault of SMA, in which case the choice of the remedy is SMA’s. If Member(s) cancels this agreement for any reason other than one listed above; a thirty (30) day advance written notice and SMA approval is required. In order to receive SMA approval, a liquidated damages fee of either two hundred fifty dollars ($250.00) or fifty percent of the remaining tuition balance, whichever is greater, will apply. Member(s) agree that any dispute arising out of this agreement will be adjudicated under the laws of the State of Texas and that proper jurisdiction will be the Justice of Peace for Precinct 4, Place 1, in Harris County. If the amount in controversy exceeds the jurisdictional limits of the Court, jurisdiction, will be the appropriate Harris County District Court. If any portion of this agreement shall be held to be invalid, it shall not affect the remainder of the agreement and the remainder shall be construed to be enforceable. If enforcement becomes necessary, a collection fee of $150.00 shall apply. Should you (the Member) choose to pay for more than one (1) month of this membership agreement in advance, members’ are aware that you are paying for future services. In the event SMA and/or this business location ceases to operate. SMA is not required to provide any-security, and there may not be other protection provided to you should you choose to pay in advance. Member(s) agrees to hold billing services and SMA harmless for any claims arising from the payment of the above described.
